These Terms of Service (“Terms”) govern your access to and use of hunttal.com and the related hiring, staffing, and outsourcing services provided by HuntTal, operated by Sky Vista Consulting, LLC (“HuntTal,” “we,” “us,” or “our”) (together, the “Services”). By accessing the Services, submitting a hiring request, or creating a client or resource account, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Description of Services

HuntTal connects companies (“Clients”) with vetted professionals (“Resources”) across technology, design, marketing, and business functions, and provides related consulting, back-office, and hiring-model services, including Employer of Record (EOR), Agent of Record (AOR), contractor management, and payroll administration. The specific scope, pricing, and terms of any engagement are set out in a separate written agreement, statement of work, or order form between HuntTal and the Client or Resource (an “Engagement Agreement”). Where these Terms conflict with an Engagement Agreement, the Engagement Agreement controls for that engagement.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. If you create a client or resource account, you agree to provide accurate and complete information, to keep your account credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that occurs under your account.

3. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms;
  • Submit false, misleading, or fraudulent information in a profile, application, or hiring request;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Attempt to gain unauthorized access to the Services, other accounts, or systems connected to the Services;
  • Scrape, crawl, or use automated means to access the Services except as permitted by our robots.txt; or
  • Circumvent HuntTal to directly engage a Resource introduced through the Services in a manner that breaches an applicable Engagement Agreement.

4. Client and Resource Engagements

Where HuntTal places a Resource with a Client, or administers a Client's hiring model (including EOR, AOR, contractor management, or payroll), the specific rights and obligations of each party — including the working relationship, deliverables, confidentiality, and compliance responsibilities — are set out in the applicable Engagement Agreement. Nothing in these Terms creates an employment relationship between HuntTal and a Client, except where HuntTal expressly acts as Employer of Record or Agent of Record under a signed Engagement Agreement.

5. Fees and Payment

Fees for the Services are set out in the applicable Engagement Agreement or order form and are not included on this website. Unless otherwise agreed in writing, invoices are due within the payment terms specified in the Engagement Agreement, and late payments may be subject to interest or suspension of Services. All fees are exclusive of applicable taxes unless stated otherwise.

6. Intellectual Property

The Services, including the hunttal.com website, its design, text, graphics, and underlying software, are owned by HuntTal or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Services except as expressly permitted by these Terms or a separate written agreement. Any content or materials a Client or Resource provides to HuntTal remain the property of that party, subject to the license needed for HuntTal to provide the Services (for example, displaying a Resource's profile to prospective Clients).

7. Confidentiality

In the course of providing the Services, HuntTal, Clients, and Resources may exchange confidential or proprietary information. Each party agrees to use confidential information disclosed to it solely to perform its obligations under an Engagement Agreement, and not to disclose it to third parties except as required to deliver the Services or as required by law.

8. Disclaimers

The Services are provided “as is” and “as available.” While HuntTal vets Resources through identity, background, and skills checks, we do not guarantee the performance, conduct, or fit of any Resource, or the outcome of any engagement. To the fullest extent permitted by law, HuntTal disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, HuntTal will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services, even if advised of the possibility of such damages. HuntTal's total aggregate liability arising out of or related to the Services will not exceed the fees paid by you to HuntTal in the twelve (12) months preceding the event giving rise to the claim, except where a higher limit is expressly set out in an Engagement Agreement or required by law.

10. Indemnification

You agree to indemnify and hold HuntTal, its officers, employees, and partners harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any applicable law or third-party right.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or unlawful activity, or if required to protect the Services, other users, or HuntTal. Termination of an active Engagement Agreement is governed by the terms of that agreement. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, and Indemnification) will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-law principles, except where an Engagement Agreement specifies a different governing law for that engagement. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Clark County, Nevada, unless otherwise agreed in an Engagement Agreement.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services or for legal or operational reasons. We will post the revised Terms on this page with an updated “Last updated” date. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
